1. Agreement to Terms
By accessing or using BioPortal (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
2. Account Registration
2.1 Account Creation
You must create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
2.3 Company Accounts
Company administrators are responsible for managing user access, permissions, and ensuring compliance with these Terms by all users within their organization.

You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Upload malicious code, viruses, or any harmful content
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Share your account credentials with unauthorized third parties
- Use automated systems to access the Service without our permission
- Reverse engineer, decompile, or disassemble any part of the Service
4. Data Ownership and License

You retain all ownership rights to the data you upload to the Service. By uploading data, you grant us a license to store, process, and display your data solely for the purpose of providing the Service.
4.2 Platform Rights
BioPortal retains all rights to the platform, including software, algorithms, AI models, design, and functionality. You may not copy, modify, or distribute any part of the platform.
5. Service Availability
We strive to provide continuous access to the Service, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications that temporarily affect access. We are not liable for any service interruptions or data loss resulting from such activities.
6. Termination
6.1 Termination by You
You may terminate your account at any time by contacting us. Upon termination, you will lose access to the Service, and your data may be deleted in accordance with our Privacy Policy.
6.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service at any time for violations of these Terms, fraudulent activity, or any other reason we deem appropriate.
7. Limitation of Liability
To the maximum extent permitted by law, BioPortal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
8. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
