1. Agreement to Terms
By accessing or using BioPortal (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
2. Account Registration
2.1 Account Creation
You must create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account.
2.3 Company Accounts
Company administrators are responsible for managing user access, permissions, and ensuring compliance with these Terms by all users within their organization.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Upload malicious code, viruses, or any harmful content
- Attempt to gain unauthorised access to any part of the Service
- Interfere with or disrupt the Service or servers
- Share your account credentials with unauthorised third parties
- Use automated systems to access the Service without our permission
- Reverse engineer, decompile, or disassemble any part of the Service
4. Data Ownership and Licence
4.1 Your Data
You retain all ownership rights to the data you upload to the Service. By uploading data, you grant us a licence to store, process, and display your data solely for the purpose of providing the Service.
4.2 Platform Rights
BioPortal retains all rights to the platform, including software, algorithms, AI models, design, and functionality. You may not copy, modify, or distribute any part of the platform.
4.3 AI-Powered Document Processing
BioPortal uses artificial intelligence to process uploaded documents and extract data. You acknowledge and agree that:
- AI-generated outputs may contain errors, omissions, inaccuracies, or misinterpretations
- You are solely responsible for reviewing and verifying all AI-extracted data before relying on it
- AI processing is provided “as is” without warranties of accuracy, completeness, or fitness for purpose
- You must not use AI-extracted data as the sole basis for safety-critical, regulatory, or compliance decisions without independent verification
- You must retain original source documents for reference and regulatory compliance
- BioPortal is not liable for any decisions made based on AI-processed data
4.4 User Responsibilities
You acknowledge and agree that:
- You are responsible for the accuracy and completeness of all data you input
- You must verify all AI-extracted and processed data before use
- You are responsible for maintaining compliance with all applicable regulatory requirements
- You must maintain original copies of all documents uploaded to the platform
- You are responsible for all actions taken through your account
- You must not rely solely on BioPortal for regulatory compliance without independent verification
5. Third-Party Services
BioPortal uses the following third-party services to provide our platform:
- OpenRouter/Anthropic: AI document processing and data extraction
- Stripe: Payment processing and subscription management
- Google Cloud Platform/Firebase: Data storage, authentication, and hosting
Your data may be processed by these third parties in accordance with their respective privacy policies and terms of service. We are not responsible for the practices or policies of third-party service providers.
By using BioPortal, you consent to the processing of your data by these third parties as necessary to provide the Service.
6. Service Availability
We strive to provide continuous access to the Service, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications that temporarily affect access. We are not liable for any service interruptions or data loss resulting from such activities.
7. Termination
7.1 Termination by You
You may terminate your account at any time by contacting us. Upon termination, you will lose access to the Service, and your data may be deleted in accordance with our Privacy Policy.
7.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service at any time for violations of these Terms, fraudulent activity, or any other reason we deem appropriate.
8. Limitation of Liability
8.1 General Limitations
To the maximum extent permitted by law, BioPortal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
8.2 AI Service Limitations
Without limiting the foregoing, BioPortal expressly disclaims all liability for:
- Errors, inaccuracies, or omissions in AI-processed documents
- Decisions made based on AI-extracted data
- Regulatory non-compliance resulting from reliance on AI processing
- Data extraction failures or misinterpretations
- Third-party AI service outages or errors
8.3 Liability Cap
In no event shall BioPortal’s total liability exceed the greater of (a) the amount you paid to BioPortal in the twelve (12) months preceding the claim, or (b) one hundred New Zealand dollars (NZ$100).
8.4 No Professional Advice
BioPortal does not provide legal, regulatory, scientific, or professional advice. You are responsible for obtaining independent professional advice regarding compliance with applicable regulations.
9. Indemnification
You agree to indemnify and hold harmless BioPortal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any third-party claims related to data you upload or process through the Service
- Decisions made based on AI-processed data
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
